Your agreement with Orrerie LLC

These App Terms are between you and Orrerie LLC, a Wyoming domestic limited liability company, filing ID 2026-002087422. Our principal office is 30 N Gould St, #58667, Sheridan, Wyoming 82801, United States; contact hello@orrerie.com. They are effective September 23, 2026, and apply when you accept them in the app.

The Service Terms supplement these terms for enabled optional services, and the Risk Disclosure explains material risks. The Privacy Policy describes processing; accepting App Terms does not enable optional AI sharing. Mandatory consumer rights take priority over any conflicting provision.

Invite-only access and eligibility

You must be at least 18, have legal capacity to enter this agreement where you live, and use the app only where your use is lawful. Access requires a valid invitation, verified email and supported device. An invitation is personal, can expire or be revoked for misuse or security reasons, and does not promise every country or feature. Do not use the service where sanctions or other applicable restrictions prohibit it.

You are responsible for keeping email, device and account access secure and for reviewing notices about material changes. A server acceptance record identifies the exact App Terms version, account, operation and server timestamp; retries cannot create a conflicting acceptance.

Swap availability depends on your eligibility, provider terms and supported regions. When your app supplies an App Store country, Orrerie uses it as an additional route restriction. That country setting does not establish your physical location or residency. Provider checks still apply when the setting is unavailable. For SideShift, Orrerie forwards the public IP address from your connection for its permission, quote and order requests. SideShift uses that address for its own availability checks. A missing IP, refusal or unavailable permission check prevents the route; a successful check may be reused briefly for that IP. Do not disguise your location or use a VPN or proxy to bypass restrictions.

Wallet responsibilities and signing

Each supported asset wallet has phone, server and offline-card owners and requires two approvals. Normal sends use phone and server approvals; Orrerie’s server share cannot spend alone. Funding and Spot authority remains separate.

Personal Gas uses a separate recovery phrase generated and kept on your phone. That phrase controls the EVM gas EOA and separate fee-only Solana and TRON addresses. Each gas address is controlled by your own key; none is an asset-wallet owner. Orrerie does not hold your Personal Gas funds, keys or recovery phrase. Orrerie still holds one server signing share for each two-of-three asset wallet, which cannot authorise an asset transaction alone. Back up the Personal Gas phrase separately from asset-wallet recovery material.

Review network, asset, recipient, amount, provider, fees and transaction details before approval. Blockchain transactions can be irreversible and addresses on the wrong network can be unrecoverable.

Recovery and account access

Email restores account records, not wallet keys. Keep phone recovery words and the offline-card owner separate; either one alone cannot spend an asset wallet. Losing two asset-wallet owners can permanently prevent access. Personal Gas needs its own phone-held phrase, which controls its EVM, Solana and TRON fee addresses; asset-wallet recovery words do not recreate it.

Ordinary app operations depend on the service and network conditions. Independent recovery after losing Orrerie access depends on your remaining phone and offline-card owners, usable recovery material and the network; Orrerie cannot recreate your phone or offline secrets. Account deletion does not transfer funds or erase public wallets.

Connected and third-party services

Mail, Phone, Intelligence, Spend, swaps, bridges, RPC, screening and notification delivery can use the providers described in the Privacy Policy and provider directory. Transaction review identifies the selected transaction provider and material instructions. Provider terms can apply in addition to these terms; a provider’s separate terms do not remove Orrerie’s own obligations to you.

Some routes temporarily hold funds, rely on an external payout or deliver a code or service outside the wallet. A submitted or source-chain-confirmed transaction is not necessarily a completed destination payout.

Spend focuses on physical shopping and services used outside the app: retail, food and delivery, rides, travel, cinema, mobile airtime, data, eSIMs, pay-TV and supported bills. Selected mixed-use retailer cards, such as Amazon, may also appear. Availability still depends on the specific provider, country and product. The app does not offer gift cards or credit for games and in-game currency, app stores or Apple gift cards, streaming video or music, e-books, online courses, software, VPN, AI, dating or in-app calling. Charity collections and test products are also excluded.

Orrerie checks product eligibility when showing the catalogue and product details, and again before a new provider purchase is created. A cached listing is not permission to buy an excluded product. Saved orders keep their receipts and supported status or delivery checks.

ChangeNOW and RocketX are not available for new swaps, and their saved orders no longer receive provider status updates in Orrerie. Retained records and public chain transactions remain available where supported. Contact support with the saved order details for an unresolved earlier transaction.

Acceptable use

Do not use Orrerie for unlawful activity, sanctions evasion, fraud, abuse, harassment, unauthorised access, service disruption, reverse engineering prohibited by law, or to submit content or transactions you are not authorised to provide. Do not use Mail or Phone for spam, spoofing or harmful communications.

You remain responsible for taxes, legal compliance, recipients, wallet backups and decisions to use a provider. Orrerie may use proportionate security checks or refuse unsupported or unsafe instructions.

Ownership and feedback

You retain rights in content you provide. You give the operator the limited rights needed to host, transmit, secure and deliver that content through the feature you choose. Orrerie software, design and branding remain protected; open-source components remain under their own licences.

Suspension, termination and material changes

Access can be suspended for security, legal, sanctions, abuse or service-integrity reasons. Suspension does not transfer assets or change wallet owners. Where safe and permitted, recovery, privacy requests and account-deletion information remain available.

Material changes receive a visible notice and, where appropriate, renewed acceptance. A policy update must not block recovery, privacy requests or account deletion. An unresolved external transaction or provider action can delay final cleanup until its outcome is known, but merely having configured a wallet does not prevent deletion of the Orrerie account.

Risks and legal terms

Cryptoassets, providers and networks involve substantial risk. Read the Risk Disclosure. No investment return, deposit insurance, uninterrupted service or successful recovery is promised. Orrerie does not provide personalised investment, tax or legal advice.

Orrerie will provide its services with reasonable care. We do not guarantee independent network, carrier or provider performance, market prices, third-party code or outcomes outside our reasonable control. These statements do not excuse our own breach of an obligation imposed by applicable law.

Nothing in these terms excludes or limits liability for fraud, deliberate misconduct, death or personal injury caused by negligence where applicable, or any liability or statutory remedy that cannot lawfully be excluded. Other responsibility and available remedies are determined by applicable law. No fixed monetary liability cap is imposed by these terms.

Fees and purchases

Review network fees, provider charges, exchange rates and any Orrerie charge shown before authorising a transaction or purchase. Estimates can change before execution, and failed transactions may still consume network fees. Orrerie cannot reverse a network fee already paid to a blockchain; this does not remove any refund or remedy owed under applicable law.

Your Personal Gas Solana address pays SOL network fees and required account rent for wallet creation, sends, transfers, Spend payments, proposal cancellation, wallet hops and supported recovery operations. Set up the address and fund it with SOL before approving these operations. Paying these costs gives the gas key no asset-owner vote.

For a TRON token send using rented Energy, your Personal Gas TRON address pays the reviewed TRX invoice directly to TronRental. The asset wallet separately pays its on-chain bandwidth, multisignature and any applicable burn costs. The Energy invoice, invoice-payment network fee and asset-wallet transaction fee are separate charges; an estimate is not a confirmed receipt.

These personal fee flows have no operator-funded fallback. The former server-held Solana reserve and TRON Energy pool are retired from new funding and transaction flows. Retirement does not assert that any historical reserve balance has already been recovered.

New Mail, Phone and Intelligence subscriptions and new Phone-line purchases are not available in this release. Planned prices are not a subscription contract or permission to charge you. Any future paid activation requires the actual price, billing period, renewal, cancellation and refund information before you agree. Existing provider products and enabled services remain subject to the review and applicable service terms.

Governing law and your rights

Wyoming law governs these terms, excluding its conflict-of-law rules, except that this choice does not deprive a consumer of mandatory protections under the law of their usual residence. Disputes may be brought in the state or federal courts with jurisdiction in Sheridan County, Wyoming, unless applicable law permits or requires another forum. Nothing here imposes arbitration or waives a right to bring a class or representative claim where that right is protected by law.

You may contact hello@orrerie.com to try to resolve a concern. Doing so is not a condition of exercising a legal right. If a term is unenforceable, the remaining terms continue only to the extent lawful. Material changes apply prospectively with appropriate notice and any acceptance required by law.
